Lawyer Li Ruzhi held a special lecture on the establishment and governance of state-owned companies for the Eighth Bureau of China Construction.
On the afternoon of April 26, Lawyer Li Ruzhi, deputy director and senior partner of Zhongcheng Qingtai Law Firm, was invited to conduct a special training for the Second Construction Co., Ltd. of China Construction Eighth Bureau on "Legal Issues of State-owned Company Establishment and Corporate Governance. More than 30 people, including leaders of the company and heads of various departments, participated in the special training on the spot. Shanghai, Nanjing and other national branches through the video network to participate in the training.
Lawyer Li Ruzhi took the "Company Law", "Enterprise State-owned Assets Law" and other laws and regulations and related judicial interpretations as the starting point, combined with specific cases, and discussed the legal knowledge and possible encounters such as company establishment, shareholder capital contribution subscription, capital contribution defects, and capital evasion. Legal risks, explained in simple terms; the establishment procedures, governance structure, governance model, compliance operation and parent-subsidiary control, enterprise party organization settings and responsibilities of state-owned companies are analyzed and interpreted in detail; suggestions and isolation schemes are put forward for the legal risks that may arise from the centralized management of funds, upper and lower levels of control and irregularities of large state-owned companies and group companies.
This lecture was highly praised by the leaders of the training unit. The participants said that they had gained a lot and had a newer and deeper understanding of corporate governance, compliance operation and related risk prevention, and said that both parties should strengthen communication and related business cooperation.
