In this lecture hall, Zhongcheng Qingtai Law Research Institute invited Pan Lin, professor and doctoral supervisor of Shandong University Law School, as the guest speaker. Professor Pan's main research direction is corporate law, and he also serves as a director of the China Commercial Law Research Association, a civil consultant expert of the Supreme People's Procuratorate, and an independent director of listed companies.

Professor Pan conducted this lecture on the theme of "Corporate Capital and Corporate Governance under the New Company Law", explaining the important changes and innovations of the new Company Law from the two aspects of the reform of the corporate capital system and the reform of the corporate governance system.
In terms of the reform of the company's capital system, Professor Pan focused on the limited liability companies and joint-stock companies in the reform of the deadline subscription system on the period of payment of registered capital, the mode of capital contribution, the responsibilities of directors and the latest registered capital registration management system of the State Council and other related issues, and explained the common corporate disputes such as capital reduction, gambling agreement, withdrawal of capital contribution and so on. In the reform of the corporate governance system, professor Pan explained one by one from the aspects of the single-tier reform of corporate governance structure, the key points of the reform of shareholders' meeting, board of directors and senior management responsibilities.
